Welcome, and thank you for your interest in ARCTIC AI PTE. LTD. ("RouterHub", "we", or "us") and our website at https://routerhub.ai/ ("Site"), along with our related APIs, platform, and other services (collectively, our "Service"). These Terms of Service are a legally binding contract between you and RouterHub regarding your use of the Service.

BY EXECUTING AN ORDER FORM, CLICKING “I ACCEPT,” OR BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THE FOLLOWING TERMS AND CONDITIONS, INCLUDING THE ROUTERHUB PRIVACY POLICY (TOGETHER, THE “TERMS”). If you do not agree to the Terms, you do not have our permission to use the Service.

In these Terms, "Customer", "you", or "your" refers to the entity or organization that has entered into these Terms, and any individuals authorized by that entity to access the Service.

1. Service Overview

RouterHub operates an enterprise AI inference procurement and routing platform. Customers may use the Service to access third-party application programming interfaces ("APIs") to use a variety of generative artificial intelligence models ("AI Models") provided by upstream cloud providers including, but not limited to, Azure OpenAI, AWS Bedrock, Google Cloud Vertex AI, and others (each, a "Provider").

RouterHub acts as a transparent pass-through routing layer: we transmit your API requests to the selected Provider in real time and stream responses back to you, without storing the content of your prompts or completions. RouterHub may process Inputs transiently in volatile memory to generate Derived Feature Metadata as described in Section 5.2, but does not store raw Inputs or Outputs, prompt or completion text, reversible hashes, embeddings, or content-bearing fields. RouterHub may add or remove AI Models and Providers from the Service at any time upon reasonable notice.

2. Eligibility

The Service is intended for business and enterprise use. By agreeing to these Terms, you represent and warrant that: (a) you are a duly organized legal entity, or an individual of at least 18 years of age with the legal capacity to form a binding contract; (b) the individual accepting these Terms has the authority to bind the Customer to these Terms; (c) you have not previously been suspended or removed from the Service; (d) your use of the Service is in compliance with all applicable laws and regulations, including applicable U.S., E.U., U.N., and Singapore export control and trade sanctions laws; (e) you are not located in, established in, or an ordinary resident of any country or territory subject to comprehensive sanctions (a "Restricted Territory"); and (f) you are not an individual or entity listed on any restricted party list.

3. Enterprise Accounts

3.1 Account Registration

To access the Service, you must register for an enterprise account. Each enterprise account is managed by one or more designated administrative users ("Admin Users") appointed by the Customer. Admin Users may invite individuals from the Customer’s organization ("Authorized Users") to access the Service under the Customer’s account.

3.2 Account Responsibilities

The Customer is responsible for: (a) the accuracy and completeness of all account registration information; (b) maintaining the confidentiality of all account credentials and API keys; (c) all activities that occur under the Customer’s account, whether by Admin Users, Authorized Users, or any third party accessing the account through the Customer’s credentials; and (d) ensuring that all Authorized Users comply with these Terms. If you have reason to believe that your account is no longer secure, you must immediately notify us at support@routerhub.ai.

3.3 API Key Management

RouterHub will issue API keys to the Customer for programmatic access to the Service. API keys are confidential credentials. The Customer shall not share, publish, or embed API keys in publicly accessible code or applications. The Customer is liable for all usage incurred through its API keys regardless of whether such usage was authorized by the Customer.

4. Fees and Payment

4.1 Billing Models & Pricing

Pricing is based on actual API usage (token consumption) at the rates published on the Site or as specified in an applicable Order Form. RouterHub offers two billing models depending on your account configuration: Pre-Paid Credits and Invoiced Billing. By using the Service, you agree to the terms applicable to your designated billing model. RouterHub reserves the right to update pricing upon thirty (30) days’ advance written notice to the Customer.

4.2 Pre-Paid Credits and Auto-Recharge

For accounts on the pre-paid model, access to the Service requires the purchase of pre-paid credits ("Purchased Credits"). The minimum purchase amount is $5.00 USD and the maximum is $25,000.00 USD per transaction. Payments are subject to platform and processing fees, which will be calculated and clearly displayed to you prior to completing the purchase. If you enable the "Auto-Recharge" feature, you expressly authorize RouterHub and our third-party payment processors to automatically charge your saved payment method when your available balance falls below your configured threshold.

4.3 Refunds, Expiration, and Cryptocurrency Terms

Refund Window: Refunds for unused Purchased Credits may only be requested within twenty-four (24) hours from the time the transaction was processed. If no refund request is received within this twenty-four (24) hour window, any unused Purchased Credits become strictly non-refundable.

Non-Refundable Fees: When a refund is processed, the unused credit amount will be refunded to your original payment method; however, all platform fees, payment processing fees, and taxes are strictly non-refundable.

Cryptocurrency & Non-Purchased Credits: Payments made via cryptocurrency are strictly non-refundable under any circumstances. Promotional, granted, or other non-purchased credits ("Non-Purchased Credits") have no cash value, cannot be withdrawn, are non-transferable, and are never refundable.

Expiration: RouterHub reserves the right to expire any unused Credits (both Purchased and Non-Purchased) three hundred sixty-five (365) days after the date they are added to your account.

4.4 Invoiced Billing and Disputed Charges

For Enterprise accounts approved for post-paid billing, RouterHub will invoice the Customer monthly (or at such other frequency as agreed in writing) in arrears based on actual usage. Invoices are due within thirty (30) days of the invoice date. Late payments shall bear interest at the rate of 1.5% per month or the maximum rate permitted by applicable law. If the Customer disputes any charge on an invoice in good faith, the Customer must notify RouterHub in writing within fifteen (15) days of the invoice date. The Customer shall pay all undisputed amounts by the applicable due date.

4.5 Payment Processing, Taxes, and Invoicing

Pre-paid purchases, online payments, and any payments of invoices made through online payment methods are processed through our third-party payment processors (e.g., Stripe, Coinbase) in U.S. Dollars, unless otherwise agreed in writing. You agree to be bound by the applicable terms and conditions of any third-party payment processor used to process your payment. For invoiced billing, RouterHub may issue commercial invoices directly, and payment shall be made by the payment method specified in the applicable invoice or Order Form. All fees are exclusive of taxes. The Customer is responsible for all applicable taxes, duties, withholding taxes, bank charges, foreign exchange costs, and governmental charges associated with the use of the Service or payment of any invoice, except for taxes based on RouterHub’s net income. Unless otherwise stated in an applicable invoice or Order Form, all invoices are payable in U.S. Dollars. For pre-paid transactions processed through third-party payment processors, RouterHub may provide standard commercial invoices or receipts generated by such processors. For invoiced billing, RouterHub may issue commercial invoices directly. RouterHub does not issue or accommodate requests for jurisdiction-specific local tax invoices unless expressly agreed in writing. The Customer is solely responsible for managing any tax reporting, withholding, reimbursement, or local compliance requirements in its jurisdiction.

5. Data Handling and User Content

5.1 Pass-Through Architecture; No Content Storage

The Customer may submit input to the Service ("Input") and receive output based on that Input ("Output"; collectively, Input and Output are "User Content"). RouterHub operates as a pass-through routing platform:

No Storage of Content. Your Inputs are transmitted directly to the selected Provider and Outputs are streamed back to you in real time. RouterHub does not store, log, cache, or persistently retain the content of your Inputs or Outputs. All User Content exists only transiently in volatile memory during the routing process.

No Training. RouterHub will never use your Inputs, Outputs, Derived Feature Metadata, or any other User Content to train, fine-tune, or improve any AI or machine learning models.

Billing and Derived Feature Metadata Only. RouterHub retains the de-identified metadata strictly necessary for billing (token counts, model identifiers, timestamps, request status codes) and the non-content Derived Feature Metadata described in Section 5.2. This metadata is stored in de-identified or aggregated form, or at the Customer/account level where necessary for account administration, security, abuse prevention, Customer-requested analytics, or reporting, and cannot be used to reconstruct the content of any request.

5.2 Derived Feature Metadata and Input Categorization

RouterHub may process Inputs transiently in volatile memory to generate non-content metadata about API requests ("Derived Feature Metadata") for internal analytics, service reliability, routing optimization, abuse prevention, billing/account administration, Customer-requested reporting, and product planning. Derived Feature Metadata may include task category, category source, language, prompt length bucket, boolean indicators such as whether a request appears to contain code, mathematical notation, or URLs, turn number, categorizer version, and Customer-provided routing or tenant tags such as X-Task-Category or X-Tenant-Tag.

Derived Feature Metadata does not include raw Inputs, raw Outputs, prompt or completion text, reversible hashes, embeddings or other vectors intended to reconstruct content, or content-bearing fields. RouterHub will not store, log, cache, or persistently retain raw Inputs or Outputs for purposes of generating Derived Feature Metadata, and will not use Inputs, Outputs, or Derived Feature Metadata to train, fine-tune, or improve any AI or machine learning models.

If the Customer supplies request metadata, labels, tenant tags, routing tags, or custom headers, including X-Task-Category or X-Tenant-Tag, the Customer is responsible for ensuring that such values are accurate, non-sensitive, and do not include personal data, regulated data, confidential content, or raw prompt/completion content unless the Customer has all required rights and lawful basis. RouterHub may process such tags as part of the Service and related analytics.

RouterHub may retain Derived Feature Metadata in de-identified or aggregated form, or at the Customer/account level where necessary for account administration, reporting, security, abuse prevention, or Customer-requested analytics. RouterHub will not publicly disclose Customer-specific Derived Feature Metadata unless the Customer has agreed otherwise.

5.3 Upstream Provider Terms

The handling of your Inputs and Outputs by upstream Providers is governed by each Provider’s own terms of service, acceptable use policies (AUP), and usage guidelines (collectively, “Provider Terms”). RouterHub selects enterprise-grade Provider configurations that generally do not use customer data for model training. However, RouterHub does not control and is not liable for Provider data practices. By accessing or using any AI Model through the Service, the Customer shall comply with, and shall ensure that its Authorized Users, downstream customers, end users, and any other third parties who access the Service or AI Models through the Customer’s products, applications, credentials, or integrations comply with, the applicable Provider Terms.

Provider Terms may be modified, supplemented, or replaced from time to time by the applicable Provider. The Customer’s continued access to or use of any AI Model after the applicable Provider Terms are updated constitutes acceptance of such updated Provider Terms. If the Customer does not agree to any updated Provider Terms, the Customer must immediately stop accessing or using the applicable AI Model.

5.4 Provider Restrictions and Suspensions

RouterHub may suspend, restrict, disable, remove, or terminate access to any AI Model, Provider service, or Provider integration if RouterHub reasonably believes that the Customer, its Authorized Users, downstream customers, end users, or any other third parties accessing the Service through the Customer have violated or may violate any Provider Terms, or if RouterHub is required or requested to do so by the applicable Provider. RouterHub disclaims all liability for any suspension, restriction, disabling, termination, removal, unavailability, degradation, or modification of any AI Model or Provider arising from or related to Provider Terms, the acts or omissions of any Provider, or any requirement or request from a Provider.

5.5 Ownership of User Content

The Customer retains all ownership rights in its Inputs. Ownership rights in Outputs are subject to the applicable Provider’s terms. RouterHub does not claim any ownership rights in the Customer’s User Content.

5.6 Customer Representations

The Customer is solely responsible for its Inputs and warrants that: (a) it has the necessary rights and permissions to submit such Inputs through the Service; (b) its Inputs do not infringe or violate any third-party rights, including intellectual property, privacy, or contractual rights; and (c) its use of the Service complies with all applicable laws, regulations, and the applicable Provider’s acceptable use policies.

6. Confidentiality

6.1 Definition

"Confidential Information" means any non-public information disclosed by one party (the "Disclosing Party") to the other party (the "Receiving Party") in connection with these Terms that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information. Confidential Information includes, but is not limited to: API keys, account credentials, pricing terms, business plans, customer lists, technical configurations, and the non-public aspects of the Service. Confidential Information does not include information that: (a) is or becomes publicly available without breach of these Terms; (b) was known to the Receiving Party prior to disclosure; (c) is lawfully received from a third party without confidentiality restrictions; or (d) is independently developed by the Receiving Party.

6.2 Obligations

The Receiving Party shall: (a) use the Disclosing Party’s Confidential Information solely in connection with the Service; (b) protect such Confidential Information with at least the same degree of care it uses to protect its own confidential information (but no less than reasonable care); and (c) limit access to Confidential Information to those employees, contractors, and agents who need such access for purposes related to the Service and who are bound by confidentiality obligations no less protective than those in these Terms.

6.3 Required Disclosure

The Receiving Party may disclose Confidential Information if required by law, regulation, or court order, provided that the Receiving Party gives the Disclosing Party prompt notice (to the extent legally permitted) and reasonable cooperation to seek a protective order.

7. Prohibited Conduct

By using the Service, the Customer agrees not to, and shall ensure that its Authorized Users do not:

1.Use the Service for any illegal purpose or in violation of any applicable law, regulation, or Provider terms.

2.Submit Inputs that infringe or misappropriate any third-party intellectual property, privacy, or contractual rights.

3.Access the Service for the purpose of building or supporting a competing product or service.

4.Share, publish, or embed API keys in publicly accessible code, repositories, or applications.

5.Attempt to reverse engineer, decompile, or disassemble any portion of the Service.

6.Conduct prompt injection, jailbreaking, or other adversarial actions against AI Models without RouterHub’s prior written approval.

7.Interfere with or disrupt the Service, including uploading viruses or malicious code.

8.Misrepresent the Customer’s identity or the identity of any Authorized User.

9.Exceed usage limits or circumvent any technical restrictions imposed by RouterHub.

10.Attempt to do, or assist any person in doing, any of the above.

8. Term and Termination

8.1 Term

These Terms are effective from the date the Customer first accesses or uses the Service and continue until terminated in accordance with this Section. If the Customer has executed an Order Form, the term specified in that Order Form shall apply.

8.2 Termination by Customer

The Customer may terminate its account at any time by contacting support@routerhub.ai. The Customer remains obligated to pay all outstanding fees incurred prior to termination.

8.3 Termination by RouterHub

RouterHub may suspend or terminate the Customer’s access to the Service: (a) immediately, if the Customer breaches any material provision of these Terms; (b) upon thirty (30) days’ written notice for convenience; or (c) immediately, if required by law or by an upstream Provider.

8.4 Effect of Termination

Upon termination: (a) all rights and licenses granted to the Customer under these Terms shall cease; (b) the Customer shall immediately cease all use of the Service; (c) any outstanding fees for usage incurred prior to termination shall become immediately due and payable; and (d) each party shall return or destroy the other party’s Confidential Information upon request.

8.5 Survival

Sections relating to fees, data handling, confidentiality, intellectual property, indemnification, disclaimers, limitation of liability, governing law, and general provisions shall survive termination.

9. Privacy Policy and Data Processing

9.1 Privacy Policy

Please read the RouterHub Privacy Policy for information relating to our collection, use, storage, and disclosure of personal information. The Privacy Policy is available at https://routerhub.ai/privacy and is incorporated by reference into these Terms.

9.2 Data Processing Agreement

Enterprise customers who require a Data Processing Agreement (“DPA”) to comply with applicable data protection laws (including the GDPR and equivalent legislation) may request one by contacting legal@routerhub.ai. Upon execution, the DPA shall be incorporated by reference into these Terms.

10. Modification of These Terms

We may update these Terms from time to time. For any changes that materially modify the Customer’s rights or obligations, we will provide thirty (30) days’ advance notice via email or in-product notification. The Customer’s continued use of the Service following receipt of notice constitutes consent to the changes. If the Customer does not agree, it must stop using the Service.

11. Ownership and Intellectual Property

The Service is owned and operated by ARCTIC AI PTE. LTD. All visual interfaces, graphics, design, data, computer code, software, and other elements of the Service ("Materials") are the property of RouterHub or our third-party licensors and are protected by intellectual property laws. Except as expressly authorized by RouterHub, the Customer may not copy, modify, distribute, or create derivative works based on the Materials. RouterHub reserves all rights not expressly granted.

12. Feedback

If the Customer provides suggestions, ideas, or other feedback regarding the Service ("Feedback"), the Customer grants RouterHub a perpetual, irrevocable, non-exclusive, royalty-free right to use such Feedback for any purpose, including to improve the Service and develop other products.

13. Indemnification

13.1 By Customer

The Customer will indemnify, defend, and hold harmless ARCTIC AI PTE. LTD. and its officers, directors, employees, and agents (the "RouterHub Entities") from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or connected with: (a) the Customer's use of the Service; (b) the Customer's breach of these Terms; (c) the Customer's violation of any applicable law or third-party right; or (d) any User Content submitted by the Customer or its Authorized Users.

13.2 By RouterHub

RouterHub will indemnify and defend the Customer from third-party claims alleging that the Service (excluding third-party AI Models and Provider services) infringes a third party’s intellectual property rights, provided that the Customer promptly notifies RouterHub and provides reasonable cooperation. This indemnity does not apply to claims arising from the Customer’s User Content, modifications to the Service not made by RouterHub, or the Customer’s use of the Service in violation of these Terms.

14. Disclaimers; No Warranties

THE SERVICE AND ALL MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. THE ROUTERHUB ENTITIES DISCLAIM ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

THE CUSTOMER ACKNOWLEDGES THAT THE SERVICE RELIES ON THIRD-PARTY AI MODELS AND PROVIDER INFRASTRUCTURE. ROUTERHUB DOES NOT WARRANT THE ACCURACY, QUALITY, COMPLETENESS, OR RELIABILITY OF ANY OUTPUT. THE CUSTOMER ASSUMES ALL RISK ASSOCIATED WITH ITS USE OF AND RELIANCE ON OUTPUTS RECEIVED THROUGH THE SERVICE.

ROUTERHUB DOES NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE SERVICE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, AND THE ABOVE EXCLUSIONS MAY NOT APPLY TO THE EXTENT PROHIBITED BY LAW.

15. Limitation of Liability

IN NO EVENT SHALL THE ROUTERHUB ENTITIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY) ARISING OUT OF OR RELATING TO THESE TERMS OR THE USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

THE AGGREGATE LIABILITY OF THE ROUTERHUB ENTITIES FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY THE CUSTOMER TO ROUTERHUB IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100).

THE FOREGOING LIMITATIONS SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON INCIDENTAL OR CONSEQUENTIAL DAMAGES, AND THE ABOVE LIMITATIONS MAY NOT APPLY TO THE EXTENT PROHIBITED BY LAW.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Singapore, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration administered by the Singapore International Arbitration Centre (SIAC) under its Arbitration Rules, conducted in Singapore. The arbitrator’s decision shall be final and binding.

EACH PARTY AGREES THAT ANY CLAIMS SHALL BE BROUGHT ONLY IN ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Nothing in this Section shall prevent either party from seeking injunctive or other equitable relief in a court of competent jurisdiction for the protection of intellectual property rights or Confidential Information.

17. General Provisions

These Terms, together with the Privacy Policy, any executed Order Form, DPA, and any other agreements expressly incorporated by reference, constitute the entire agreement between the parties regarding the subject matter hereof. These Terms may not be assigned by the Customer without RouterHub’s prior written consent. RouterHub may assign these Terms without restriction. The failure to enforce any provision shall not constitute a waiver. If any provision is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Section headers are for convenience only and have no legal effect.

18. Consent to Electronic Communications

By using the Service, the Customer consents to receiving electronic communications from RouterHub, including notices, agreements, invoices, and other communications. The Customer agrees that such electronic communications satisfy any legal requirements that communications be in writing.
